Confidentiality Agreement

This Confidentiality Agreement is entered into between Ngondetours, hereinafter referred to as the "Company," and any individual accessing or using the Company's website, hereinafter referred to as the "User."

1. Purpose and Scope
The Company operates as a Destination Management Company (DMC) in the tourism industry. The purpose of this Agreement is to protect the confidentiality of any non-public information disclosed by the Company to the User while accessing or using the Website.

2. Confidential Information
Confidential Information refers to any information, whether in written, oral, or electronic form, that is disclosed by the Company and is not publicly available. This may include, but is not limited to, proprietary business information, client lists, financial data, trade secrets, marketing strategies, and any other information considered confidential by the Company.

3. Non-Disclosure and Non-Use
The User agrees to maintain the confidentiality of any Confidential Information disclosed by the Company. The User shall not disclose, distribute, reproduce, or use the Confidential Information for any purpose other than what is necessary to access and use the Website for legitimate business purposes.

4. Safeguarding Confidentiality
The User agrees to exercise reasonable care in safeguarding the Confidential Information and shall take all necessary precautions to prevent unauthorized access, use, or disclosure of such information.

5. Exceptions
This Agreement shall not apply to any information that (a) is or becomes publicly available through no fault of the User, (b) was already in the User's possession without an obligation of confidentiality, or (c) is rightfully obtained by the User from a third party without any breach of confidentiality.

6. Term and Termination
This Agreement shall remain in effect for as long as the User has access to or uses the Website. Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, the User shall cease using the Confidential Information and return or destroy any materials containing such information.

7. Remedies
The User acknowledges that a breach of this Agreement may cause irreparable harm to the Company. In the event of a breach, the Company shall be entitled to seek injunctive relief and any other remedies available at law or in equity.

8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Gabon. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Gabon.

9. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes any prior agreements, understandings, or representations, whether written or oral.

By accessing or using the Website, the User acknowledges having read, understood, and agreed to the terms and conditions of this Confidentiality Agreement.
